Effective Date: 23rd June 2026

This Hero Service Provider Agreement ("Agreement") is entered into by and between DumpHero, Inc. ("DumpHero") and the individual or business accepting this Agreement ("Hero").

By registering for, accessing, or using the DumpHero Platform, Hero agrees to be bound by this Agreement.

1. Purpose

​

DumpHero operates a technology marketplace that connects customers seeking hauling, junk removal, moving, cleanout, disposal, labor, and related services with independent service providers. Hero wishes to use the Platform to market services, submit bids, accept jobs, and receive payment from customers.

​

2. Independent Contractor Relationship

​

Hero acknowledges and agrees that Hero is an independent contractor operating an independent business and is not an employee, agent, partner, representative, franchisee, or joint venturer of DumpHero.

Nothing contained in this Agreement shall create an employment relationship. Hero shall not be entitled to workers' compensation benefits, unemployment insurance, health benefits, retirement benefits, paid leave, overtime compensation, expense reimbursement, or any other employee benefits.

Hero retains complete control over when, where, and how services are performed, which jobs are accepted, and what resources are utilized to complete services.

3. Licensing, Compliance, and Qualifications

​

Hero represents and warrants that Hero possesses all licenses, permits, registrations, certifications, and qualifications required by law to perform services offered through the Platform.

Hero agrees to comply with all applicable federal, state, and local laws, regulations, ordinances, environmental requirements, and disposal requirements.

4. Insurance and Risk Assumption

​

Hero is solely responsible for maintaining all legally required insurance coverage and assumes all risks associated with operating a service business.

Hero is solely responsible for vehicles, trailers, equipment, subcontractors, laborers, disposal fees, permits, taxes, fuel costs, and operational expenses.

5. Platform Access

​

DumpHero grants Hero a limited, revocable, non-exclusive license to access and use the Platform solely for legitimate business purposes.

DumpHero reserves the right to modify, suspend, or discontinue any portion of the Platform at any time.

​

6. Job Bidding and Acceptance

​

Hero may submit bids for available jobs through the Platform. Submission of a bid does not guarantee selection.

Upon acceptance of a bid by a customer, Hero agrees to perform the services professionally, safely, and in accordance with all applicable laws.

7. Payments

​

Hero will receive payment for completed services less applicable Platform fees, processing fees, chargebacks, refunds, adjustments, taxes, and other authorized deductions.

DumpHero reserves the right to collect, hold, delay, reverse, offset, or recover payments in connection with disputes, customer complaints, fraud investigations, chargebacks, policy violations, or legal obligations.

Hero authorizes DumpHero to deduct amounts owed from future payments.

8. Refunds, Cancellations, and Chargebacks

​

Customers may request refunds or dispute transactions through the Platform.

Hero acknowledges that DumpHero may investigate disputes and issue refunds, credits, or payment adjustments when warranted.

If a chargeback or dispute is resolved in favor of the customer, Hero authorizes DumpHero to recover any related amounts from future earnings or other funds owed to Hero.

9. Customer Information

​

Hero may access customer information solely for purposes of fulfilling requested services.

Hero shall not sell, transfer, disclose, distribute, or misuse customer information for any purpose unrelated to the transaction.

10. Anti-Circumvention

​

Hero agrees that customers introduced through DumpHero are valuable business relationships developed through DumpHero's marketing, technology, and operational investments.

Hero shall not solicit, encourage, or facilitate off-platform transactions with any customer introduced through the Platform for a period of twelve (12) months following the initial introduction.

Violation of this provision may result in immediate account termination, forfeiture of unpaid earnings, and liability for damages.

11. Non-Solicitation

​

Hero agrees not to directly or indirectly recruit, solicit, hire, contract with, or engage any DumpHero employee, contractor, consultant, or representative during use of the Platform and for twelve (12) months thereafter without DumpHero's written consent.

12. Acceptable Use

​

Hero shall not engage in fraud, deception, harassment, threats, discriminatory conduct, unsafe practices, false advertising, bid manipulation, account sharing, identity misrepresentation, or any unlawful conduct.

DumpHero may suspend or terminate accounts for violations of this provision.

​

13. Communications Consent

​

Hero consents to receive communications from DumpHero through email, telephone, mobile application notifications, and SMS text messaging relating to jobs, payments, account activity, security alerts, and customer communications.

14. Electronic Signatures

​

Hero agrees that electronic signatures, acceptance buttons, checkboxes, electronic acknowledgements, and electronic records shall have the same legal effect as handwritten signatures.

15. Indemnification

​

Hero agrees to defend, indemnify, and hold harmless DumpHero and its officers, directors, employees, shareholders, affiliates, successors, and assigns from any claim, lawsuit, regulatory action, fine, penalty, loss, damage, liability, cost, or expense arising from:

(a) services performed by Hero;

(b) property damage;

(c) personal injury;

(d) vehicle accidents;

(e) disposal violations;

(f) customer disputes;

(g) employment-related claims; or

(h) violations of this Agreement.

16. Limitation of Liability

​

DumpHero is a marketplace technology provider and shall not be liable for any damages arising from Hero's business operations.

In no event shall DumpHero's liability exceed the total Platform fees collected from Hero during the six-month period preceding the claim.

17. Suspension and Termination

​

DumpHero may suspend, restrict, or terminate Hero's account at any time for fraud, safety concerns, legal compliance, customer complaints, policy violations, or other business reasons.

18. Arbitration and Governing Law

​

Any dispute arising from this Agreement shall be resolved through binding arbitration in Connecticut.

This Agreement shall be governed by the laws of the State of Connecticut.
